CleanTech Vanadium Mining Corp. Secures $433,033 in First Tranche of Non-Brokered Private Placement

CleanTech Vanadium Mining Corp. (TSXV: CTV) has raised $433,033 in the first tranche of a non-brokered private placement, selling 3,936,667 units at $0.11 each, according to Seaforth Huron Expositor. The junior mining company says it may close additional tranches, subject to regulatory approval.
A significant chunk of the raise came from a related party. Oracle Commodity Holding Corp. — a connected entity — bought 2,466,667 units for $271,333, or about 63% of the total raise, as reported by The Whig.
Oracle Commodity Holding Corp.'s participation is classified as a "related party transaction" under Multilateral Instrument 61-101. That's a Canadian securities rule designed to protect minority shareholders in deals involving insiders. The rule kicks in when a connected company or individual takes a meaningful stake, as Daily Herald Tribune noted.
CleanTech did not say it sought a formal valuation or minority shareholder vote. Companies can often skip those steps if they qualify for certain exemptions under MI 61-101. The company has not publicly disclosed which exemption it is relying on.
CleanTech says it will use the net proceeds for "general corporate purposes." That's a broad category covering day-to-day costs like staff, overhead, and exploration upkeep. Importantly, the company confirmed it will not use the funds for any deal that needs TSX Venture Exchange approval, according to Stratford Beacon Herald.
At $0.11 per unit, the price point signals where the stock is trading in a tough market for junior miners. Vanadium — a metal used in large-scale energy storage batteries — has faced volatile demand as the clean energy sector adjusts to shifting government subsidies.
The first tranche is not the end of the raise. CleanTech said it may complete additional tranches of the offering, pending regulatory sign-off. That means the total amount raised could grow beyond $433,033, as Hanna Herald reported.
Non-brokered placements are common among small mining companies. They skip the investment bank middleman, cutting fees but often limiting the pool of buyers to existing contacts and insiders. Oracle's outsized participation — 63% of this tranche — underscores that dynamic here.
CleanTech Vanadium trades on both the TSX Venture Exchange in Canada and the OTCQB market in the United States. The company focuses on vanadium, a metal that goes into vanadium redox flow batteries. Those batteries store large amounts of electricity and are seen as a key tool for grid-scale clean energy storage, according to Ontario Farmer.
Demand for vanadium has been uneven, tied closely to infrastructure spending in China and the pace of battery storage projects worldwide. For CleanTech, the private placement buys time and operational runway while the company pursues its longer-term mining and development goals.
