VisionWave Gains Controlling 52% Stake in Foresight with $17.5M Investment for AI Defense

Foresight Autonomous Holdings agreed to a strategic equity investment deal with VisionWave worth up to $17.5 million, positioning the company to accelerate AI-powered defense technology development and valuing Foresight at roughly $34 million post-investment. The transaction is structured to give VisionWave a controlling 52% stake through a two-stage process: 46% upfront and the remaining 6% after a commercial pilot milestone, subject to shareholder and regulatory approvals. The partners plan to fuse Foresight’s visible light, infrared, and neuromorphic sensing with VisionWave’s AI and radio-frequency perception systems to deliver real-time perception for defense and security, including counter-drone and other unmanned systems, border protection, and critical infrastructure monitoring. Both companies are expected to continue operating as independent publicly traded entities, with VisionWave gaining board representation. The announcement also coincided with a sharp rise in Foresight shares in early trading, even as financial analysts flagged concerns about Foresight’s financial strength and profitability.
Foresight CEO Haim Siboni said the investment “represents an important opportunity to combine our proven perception expertise with advanced AI technologies,” adding that it “positions Foresight to offer more sophisticated, AI-driven solutions” where “real-time intelligent perception is increasingly critical.”
Beyond the sensor fusion concept, Foresight’s announcement highlighted concrete product capabilities and business units—its systems include “in-line-of-sight” vision and “beyond-line-of-sight” accident-prevention solutions, and its 3D perception modules feature “automatic calibration” and “dense 3D point cloud.” The company also emphasized Eye-Net Mobile’s “next-generation vehicle-to-everything (V2X) collision prevention solutions.”
The market reaction was quantified: GuruFocus reported FRSX shares jumped “over 31%” in early trading, while VWAV shares rose “by 4%,” and it flagged weak fundamentals using GF Score™ metrics—“41/100” and “Financial Strength: 4/10.”
The deal terms were described as an equity purchase where Foresight is investing in “VisionWave common stock,” rather than as a cash-only partnership—CityBuzz also reiterated the post-investment valuation of about $34 million for Foresight as part of that structure.
