Korn Ferry Acquires AMS for £850 Million to Expand Global Talent Consulting Leadership

Korn Ferry will fund the AMS acquisition with about $300 million from cash on hand, roughly $581 million via its existing revolver, and issue around 3.6 million Korn Ferry shares as part of the consideration.
TipRanks AI Analyst Spark rates KFY as Outperform, citing solid profitability, conservative leverage and strong free cash flow as factors supporting the deal.
The sale involves multiple sellers—Auxey Holdings (Lux) S.A.S., OMERS Administration Corporation, and AMS Cayco Ltd.—with Korn Ferry acquiring all issued and outstanding shares of Auxey Holdco Limited (AMS), a Jersey-registered company.
Korn Ferry is the Official Talent & Organizational Consulting Partner of LA28, highlighting the firm’s expanded visibility and capacity to support the Olympic Games’ talent needs.
The combined firm will have more than 16,000 colleagues and will place a professional in a job roughly every 90 seconds, underscoring the scale of its global talent deployment.
Korn Ferry has agreed to buy UK-based AMS for roughly £850 million, or about $1.1 billion, in a deal that would create one of the world's largest talent and organizational consulting firms, according to Seeking Alpha. The acquisition, announced June 29, 2026, combines Korn Ferry's executive search and leadership consulting with AMS's recruitment process outsourcing and early-careers services.
The combined firm will employ more than 16,000 people and place a professional in a new job roughly every 90 seconds, Korn Ferry said in its official press release. The deal is expected to close in the second quarter of fiscal year 2027, pending regulatory approvals in the UK, US, and EU.
Korn Ferry is funding the purchase with three sources. It will use $300 million in cash on hand, draw roughly $581 million from an existing revolving credit facility, and issue about 3.6 million Korn Ferry shares to the sellers, according to GuruFocus. The sellers include OMERS Private Equity, Auxey Holdings (Lux) S.A.S., and AMS Cayco Ltd.
OMERS, the private equity arm of Canada's Ontario Municipal Employees Retirement System, first bought AMS in 2018 for £820 million. It is now exiting after an eight-year hold. TipRanks AI analyst Spark rated Korn Ferry as Outperform after the announcement, pointing to the firm's conservative use of debt and strong free cash flow as reasons the deal is well-structured.
AMS currently generates about $650 million in annual fee revenue and around $100 million in adjusted EBITDA, according to Benzinga. Korn Ferry expects the combined business to reach $140 million in run-rate EBITDA within 12 months of closing. The deal is also projected to be accretive to earnings per share in the first full year after integration.
AMS holds long-term outsourcing contracts with major employers, locking in an estimated $1.5 billion in future fees. Those contracts cover services like campus recruiting, contingent workforce management, and skills-based hiring. That recurring revenue base is a key reason Korn Ferry pursued the deal — it cushions the firm against the cyclical nature of executive search.
Korn Ferry CEO Gary Burnison called the combination "a game-changer," saying the two firms will have "a colleague in front of a client or candidate every 90 seconds." AMS CEO David Padgett said cultural alignment around "the power of people" was the deciding factor in choosing Korn Ferry as the buyer.
Not everyone is convinced the integration will go smoothly. Industry analysts warn that AMS operates as a high-volume, process-driven operation, while Korn Ferry runs a high-touch, bespoke consulting model. Blending those two cultures under one firm — without losing efficiency on the AMS side — is the central execution challenge that will determine whether the £850 million price tag proves justified.
The deal faces antitrust review in multiple jurisdictions. The UK's Competition and Markets Authority is expected to scrutinize the combination closely. AMS is a primary recruitment supplier for several UK government departments and FTSE 100 companies. EU regulators may also examine the combined firm's dominance in early-careers and campus recruiting.
Beyond the regulatory process, Korn Ferry pointed to a high-profile near-term opportunity. The firm is the Official Talent and Organizational Consulting Partner of the LA28 Olympic Games. Executives said the AMS acquisition gives Korn Ferry the operational scale — deep staffing and workforce deployment capabilities — needed to support the Games' large workforce requirements, according to GuruFocus.
