Dream Finders Raises All-Cash Beazer Bid to $32 Amid Board Resistance

Dream Finders Homes raised its all-cash bid for Beazer Homes to $32 per share on June 30, marking its fifth takeover attempt in 2025 and 2026, according to Builder Online. The new offer is about 70% above Beazer's May 8 closing price and roughly 56% above its 30-day average trading price. Beazer shares jumped as much as 14.7% in premarket trading on the news, reaching around $30.80, GuruFocus reported.
Dream Finders chief executive Patrick Zalupski accused Beazer's board of blocking progress with "onerous" conditions, including a 12-month standstill agreement that he said would delay or kill any deal. Beazer said it is open to talks on better terms but is also weighing other proposals and its own standalone plan.
Dream Finders first approached Beazer in February 2026 with a $28.50-per-share offer. It followed with a $29 bid in March, then dropped to $25.75 in May before climbing back to $29.25 in June. The latest $32 proposal is a nearly 24% jump from the previous public offer of $25.75, Builder Online noted.

Dream Finders pushed back hard on the standstill requirement. Zalupski argued a 12-month standstill would hand Beazer's board a veto over the entire process. He said the conditions "do not maximize shareholder value" and accused the board of using them to stall rather than engage seriously.
If Dream Finders succeeds, the combined company would rank as the seventh-largest homebuilder in the United States. The two firms have different geographic strengths, and Dream Finders argues the scale would help both compete in a tough housing market, according to Builder Online.
The U.S. housing market has been squeezed by high mortgage rates and rising construction costs. Bigger builders can often negotiate better deals with land sellers and suppliers. That makes scale a real advantage right now, which is part of why Dream Finders keeps coming back with higher bids.
Beazer has signaled it is not only talking to Dream Finders. The company said it is "evaluating multiple opportunities" beyond the Dream Finders proposals, Yahoo Finance reported. That suggests other potential buyers may be circling, giving Beazer's board more reason to hold out for a higher price.
Beazer also said its standalone strategy remains on the table. That means the board could walk away from all offers if it believes the company is worth more on its own. With shares trading at about $30.80 in premarket — still below the $32 bid — the market appears skeptical a deal closes soon, per GuruFocus.
