INVO Fertility Reports 23% Q1 Revenue Growth, Significantly Reduces Liabilities

The quarter ended with four U.S. fertility clinics after INVO closed its acquisition of Indiana-based Family Beginnings in February for $760,000.
The net loss narrowed sharply to $5.54 million from $17.4 million a year ago, though $3.79 million of that loss was a non-cash charge tied to warrant remeasurement, Nasdaq reported. The company ended the quarter with $4.9 million in cash, up from $2.1 million at year-end 2025.
Clinic revenue reached $1,982,233 in Q1 2026, up from $1,621,553 a year earlier, TradingView reported. The February closing of the Family Beginnings deal added IVF and intravaginal culture (IVC) services — a lower-cost alternative to standard IVF — to INVO's platform. Family Beginnings was already using INVO's INVOcell device before the deal closed.
INVO paid $360,000 in cash and $400,000 in Series D Preferred Stock for Family Beginnings, according to Yahoo Finance. Indiana physician Dr. James Donahue, a nationally recognized fertility specialist, stayed on as clinical lead under a multi-year management agreement. The company now operates four U.S. clinics.
Total liabilities fell 26% to $9.6 million, while stockholders' equity more than doubled — up 108% — to $15 million, GlobeNewswire reported. INVO wiped out all Series C-2 Preferred Stock and warrant liabilities during the quarter. The company also raised $7.1 million from warrant exercises in Q1.
Adjusted EBITDA came in at negative $1.26 million, and earnings per share were negative $3.38 for the quarter, according to Watchlist News. A January 2026 financing round of $7.5 million and a 1-for-5 reverse stock split in March helped stabilize the capital structure. The stock opened at $1.50, well below its 12-month high of $183.60.
Hedge fund Armistice Capital LLC acquired roughly 207,644 shares, giving it about 8.69% of INVO, according to Yahoo Finance. Total institutional ownership now stands at about 12.02%. The move is seen as a signal that at least some professional investors believe in the clinic-expansion strategy.
Armistice CIO Steven Boyd has become one of the company's most influential outside voices. Other new institutional positions from Mariner LLC and Geode Capital Management also emerged in recent months, TradingView noted, suggesting a modest thaw in institutional sentiment after a brutal year for the stock.
Despite the revenue growth, INVO's management flagged "substantial doubt" about the company's ability to keep operating without more funding, TradingView reported. The company carries a $96.9 million accumulated deficit. Operating cash burn ran at roughly $1.9 million per quarter, meaning growth alone won't close the gap.
Nasdaq issued a delinquency notice on May 27 after INVO filed its 2025 annual report and Q1 results late, according to the investigative research briefing. The company filed its delayed 10-K on June 2, starting the path back to full compliance. Technical analysts at Watchlist News still rate the stock a "Strong Sell" given its extreme price collapse and high volatility.
