Regeneron Acquires 23andMe Assets for $256M in Bankruptcy Deal, Promising Data Privacy Protection

Regeneron Pharmaceuticals has agreed to acquire the majority of 23andMe's assets for $256 million through a bankruptcy court-supervised sale, expected to close in the third quarter of 2025 pending regulatory and court approvals. The acquisition includes 23andMe's Personal Genome Service, Total Health, Research Services, and Biobank, but excludes Lemonaid Health, which 23andMe plans to wind down. Regeneron has committed to maintaining strict privacy and security standards for customer genetic data, complying with 23andMe's privacy policies and applicable laws, and will be subject to oversight by a court-appointed Consumer Privacy Ombudsman. The deal allows 23andMe to continue operating as a wholly-owned subsidiary under Regeneron, which also plans to offer employment to all employees from the acquired units. This strategic acquisition is intended to enhance Regeneron's genetics-guided research and drug development capabilities, leveraging 23andMe's extensive genetic datasets to accelerate medicine discovery and improve treatments for serious diseases. The transaction reflects Regeneron's commitment to ethical data use and consumer privacy amid previous concerns stemming from 23andMe's data breach in 2023.
A Court-appointed Consumer Privacy Ombudsman will assess the impact of the transaction on consumer privacy and is expected to deliver a report by June 10, 2025, ahead of the final court approval hearing scheduled for June 17, 2025.
23andMe has been experiencing significant financial difficulties, with an EBITDA of -$219.67 million over the last twelve months and a current market capitalization of $24.14 million, making the $256 million acquisition price substantially higher than its market value.
Mark Jensen, Chair of the Special Committee of the Board of Directors of 23andMe, expressed satisfaction with the transaction, underscoring the importance of maintaining customer privacy and consent regarding genetic data.
Dr. George D. Yancopoulos, co-Founder and Chief Scientific Officer of Regeneron, highlighted Regeneron's history of safeguarding genetic data from nearly three million participants and emphasized the company's commitment to ethical data use.
The acquisition deal was secured through a bankruptcy auction held on May 16, 2025, as part of 23andMe's Chapter 11 bankruptcy proceedings.
