MediPharm Labs Shareholders Approve Director Elections, Appoint New Chair at Annual Meeting

MediPharm Labs Corp. (TSX: LABS) held its 2026 Annual and Special Meeting of Shareholders on June 17, with co-founder Keith Strachan appointed as the new Chair of the Board, according to GlobeNewswire. The virtual meeting drew 389 shareholders representing 130,357,074 common shares — about 30.68% of the company's total shares outstanding.
The meeting marked a clear shift in leadership. Long-standing directors Chris Taves and Chris Halyk did not stand for re-election. Shareholders also voted to shrink the board from seven members down to five, a move the company framed as streamlining oversight as it pushes toward sustainable profitability.
Keith Strachan is one of MediPharm's original co-founders and served as its President before stepping into the Chair role. He won 90.27% of the votes cast, according to GlobeNewswire. The four other newly elected directors were David Pidduck (86.16% approval), Emily Jameson (91.93%), John Medland (91.49%), and Michael Bumby (73.32%). Bumby's lower approval rate stands out. He played a central role in the 2023 merger with VIVO Cannabis Inc., and some shareholders still appear skeptical of that deal, according to Simply Wall St.
Chris Taves had served as Chair since 2021 and guided MediPharm's shift from a Canadian cannabis extractor to an international pharmaceutical supplier. Chris Halyk, a former President of Janssen Inc. Canada, brought deep big-pharma knowledge to the board. Neither stood for re-election, according to GlobeNewswire.
The special resolution to set the board at five directors passed by a large majority. Management described the reduction as a "right-sizing" following the VIVO Cannabis merger, which had required a larger board to accommodate leadership from both companies. Auditor MNP LLP was re-appointed with 98.07% approval, GlobeNewswire reported.
The meeting comes at a turning point for MediPharm. In Q1 2026, the company reported positive Adjusted EBITDA for the first time in several quarters, along with gross margins of 37%, according to Yahoo Finance. Interim CEO and CFO Greg Hunter said, "we delivered positive adjusted EBITDA, strong gross margins, and continued international expansion, while maintaining a virtually debt-free balance sheet."
Analysts at Simply Wall St forecast MediPharm will reach a net profit of roughly CA$646,200 for the full 2026 fiscal year. That would mark a major recovery from years of losses. Shares of LABS.TO rose 7.14% to $0.075 CAD on the day results were released.
With the new board in place, MediPharm's next major task is finding a permanent CEO. Hunter holds the role on an interim basis. The company recently shipped its Beacon-branded flower to New Zealand for the first time and secured new purchase orders in France, according to GlobeNewswire.
MediPharm holds the only domestic commercial-scale GMP license in North America for extracting multiple natural cannabinoids. That status allows it to export to regulated medical markets like Germany and Australia. With little debt and improving margins, the company could become either a buyer in a consolidating market — or a target for a larger pharmaceutical firm seeking a certified entry into cannabinoids.
