INNIO Group Announces Pricing for Upsized 90 Million Share IPO at $27

INNIO Group priced its upsized IPO at $27.00 per share on June 3, 2026, raising $2.43 billion for its selling shareholders Financial Post. The offering was bumped from 75 million shares to 90 million — a sign of strong investor demand — and shares began trading on the Nasdaq Global Select Market under the ticker "INIO" on June 4 National Post.
INNIO describes itself as a leading global distributed energy solutions provider, built around its Jenbacher and Waukesha gas engine brands Pincher Creek Echo. The company's sudden appeal to Wall Street has one main driver: the AI data center boom and the hunger for off-grid power it has created.
INNIO's core business is making modular gas engines that power facilities directly, bypassing strained electrical grids. As interconnection queues in the U.S. and Europe stretched beyond six years, data center operators turned to INNIO's "behind-the-meter" engines for reliable, on-site power Northern News. Orders from data center customers jumped from just $27 million in 2023 to $2.3 billion in 2025 — a staggering increase that turned INNIO into an AI infrastructure darling.
The company's total order intake for 2025 hit $3.88 billion, up 188% year-over-year. Revenue in Q1 2026 rose 35% to $668.6 million. CEO Dr. Olaf Berlien said INNIO's technology delivers "the transient performance, resilience, and flexibility data centers require, even when operating on 100% hydrogen" Sault Star.
INNIO will not receive a single dollar from this IPO. Every share sold is a secondary share, meaning the money goes entirely to the sole selling shareholder, AI Alpine (Luxembourg) S.à r.l. — a vehicle co-owned by private equity firm Advent International and the Abu Dhabi Investment Authority (ADIA) Montreal Gazette. Advent bought INNIO from General Electric in 2018 for $3.25 billion and has been building toward this exit ever since.
Before the IPO, Advent and ADIA pulled out an additional $723.8 million through a dividend recap — a move where a company takes on debt to pay its owners. The offering values INNIO at roughly $20.3 billion Woodstock Sentinel Review. Underwriters Goldman Sachs, J.P. Morgan, and Morgan Stanley also hold an option to buy 13.5 million more shares, potentially adding another $364.5 million for the sellers Fort McMurray Today.
INNIO carries significant debt. Its net debt sits at 3.6 times EBITDA — a measure of earnings before certain costs. Despite surging revenue, the company posted a $7.2 million net loss in Q1 2026, compared to a $35 million profit in the same period of 2025 Recorder. Analysts note the service business, which made up 48% of revenue in 2025, provides stability — but customer concentration is a risk. Five clients account for 39% of total revenue Cold Lake Sun.
Post-IPO, INNIO will remain a "controlled company" under Nasdaq rules. AI Alpine keeps enough voting power to exempt INNIO from certain corporate governance requirements Shoreline Beacon. Lockup expirations after the IPO could also bring future selling pressure as Advent and ADIA look to further reduce their stake.
INNIO is pitching itself as a "bridge fuel" company on the road to clean energy. It is investing in hydrogen-ready engine technology and frames its gas engines as a temporary but necessary step toward a net-zero grid Mitchell Advocate. Dr. Berlien has pointed to successful hydrogen tests as proof the company can survive the energy transition. Its engines can already run on blended hydrogen and natural gas.
Critics are less convinced. INNIO's business still depends almost entirely on natural gas engines, and tightening climate regulations in Europe and North America pose a long-term risk to that model Fort Saskatchewan Record. For now, the AI power crisis is drowning out those concerns — but investors buying in at a $20.3 billion valuation are betting INNIO navigates that shift successfully.
