StrikePoint Gold Upsizes Bought Deal Private Placement to Total of C$160 Million

StrikePoint Gold Inc. has increased its bought deal private placement to C$160 million, raising 80 million subscription receipts at C$2.00 per receipt, according to Hanna Herald. The company amended its agreement with underwriter Canaccord Genuity Corp. to expand the offering size. Proceeds will fund the cash component of a major transaction, advance exploration at the Northumberland project, and cover general corporate costs under 10 percent.
The gross proceeds minus underwriter expenses will be placed into escrow, Financial Post reported. The placement requires all necessary corporate and regulatory approvals before funds are released. This escrow structure protects investor money until conditions are met. The offering operates as a brokered private placement across all Canadian provinces.
All securities issued through the offering will carry an indefinite hold period under National Instrument 45-102, National Post noted. This restriction means investors cannot sell these securities without meeting specific conditions. The indefinite hold applies to private company securities in Canada. It protects companies from immediate resale pressure after offerings close.
The C$160 million will primarily support a major transaction's cash requirements, according to Stratford Beacon Herald. Beyond that, StrikePoint plans to advance exploration and development at its Northumberland project. Less than 10 percent goes to general corporate purposes. This capital injection positions the company for significant project advancement.
Canaccord Genuity Corp. serves as the lead underwriter for the expanded offering, Edmonton Sun reported.
