Progress Software Acquires Domo's AI and Data Platform for $400 Million to Advance Strategy

Domo (NASDAQ: DOMO) will not disappear entirely. After selling its core business, it will continue as a separate, debt-free public company under a new name and ticker. It plans to monetize more than $900 million in net operating loss carryforwards — tax assets that were excluded from the sale, according to Yahoo Finance.
The headline price is $400 million, but the real net cost is closer to $355 million. Progress will acquire at least $25 million in cash from Domo and expects about $35 million in tax benefits, according to Yahoo Finance. Progress plans to fund the deal from cash on hand and its existing revolving credit line.
The deal adds more than 2,400 business customers to Progress's roster, along with Domo's cloud data warehouse partnerships. Progress CEO Yogesh Gupta described the acquisition as a way to accelerate its AI product strategy, according to GuruFocus. The company aims to keep its debt ratio below 3x and pay down debt quickly after closing.
Domo was under serious financial pressure before this deal. The company had disclosed covenant breaches on its debt and issued a going-concern warning — a signal that it was at risk of not surviving as an independent business. That distress gave Progress leverage in structuring favorable terms, according to Investing.com.
By using an asset purchase structure, Progress gets to pick which liabilities transfer over and manage customer transitions on its own terms. Domo shareholders, meanwhile, receive an 81% premium to the stock's 30-day average price. The remaining public shell will hold roughly $246 million in net cash after the deal closes.
Domo insiders sold about $4.3 million worth of shares in the three months leading up to the deal announcement. No insider purchases were reported during that period, according to Yahoo Finance. The timing of those sales is likely to draw scrutiny from investors and regulators.
Progress expects to close the deal within its 2026 fiscal year, pending regulatory approval. It says customers will move through a seamless transition as Domo's platform is folded into Progress's software lineup, according to TMCnet.
The stripped-down Domo entity that remains will operate debt-free with a new name and stock ticker. Its main focus will be preserving and cashing in on its $900 million-plus in net operating losses. To protect those tax assets, Domo has adopted a Section 382 tax benefits preservation plan — a legal tool that limits how much ownership can change hands, according to Yahoo Finance.
