Quantum Computing Inc. has closed its acquisition of NHanced Semiconductors, paying $68.1 million in cash and $5.0 million in stock for a total upfront value of $73.1 million, according to TipRanks. The deal makes NHanced a wholly owned subsidiary and opens a second semiconductor fabrication facility ahead of schedule.
The total deal could reach $145.1 million if NHanced hits revenue and profit targets in 2027 and 2028, The Quantum Insider reported. A $20 million escrow holdback is tied to near-term revenue goals, with up to $72 million more in performance-based earnouts beyond that.
NHanced brings semiconductor fabrication, advanced packaging, and nanophotonics to QCi's existing stack, Pulse2 reported. The deal adds a second clean-room fabrication facility, which QCi says came online ahead of its original schedule. The company can now scale production of thin-film lithium niobate (TFLN) photonic chips — high-speed, low-power optical components critical to quantum networking and AI hardware.
Before the deal, QCi had already acquired Luminar Semiconductor to gain its first fabrication line for TFLN technology. NHanced fills the packaging gap. CEO Yuping Huang said the acquisitions "accelerate the company's long-term growth plan and semiconductor fabrication capacity expansion," according to CityBiz.
QCi paid $68.1 million in cash and $5.0 million in its own stock at closing. An additional $20 million sits in escrow, secured against short-term revenue targets. The remaining $72 million in earnouts is back-loaded to 2027 and 2028, tied to specific EBITDA and top-line revenue milestones, The Quantum Insider noted.
The structure protects QCi shareholders by linking most payments to actual results. It also gives NHanced's leadership — including President Robert Patti, a recognized expert in 3D semiconductor integration — a strong incentive to hit targets after the merger closes.
QCi says the combined company now serves quantum computing, AI, secure communications, and defense customers, according to CityBiz. Building production inside the U.S. is a key part of the pitch. The CHIPS and Science Act of 2022 created federal grants for domestic chip makers, and defense contracts increasingly require components made in America.
By owning fabrication and packaging under one roof, QCi aims to cut reliance on overseas foundries for specialized quantum chips. Quiver Quantitative noted the move positions QCi to "expand into chip manufacturing amid broader" demand for domestic quantum components. The company expects to move from custom, one-off chip orders to scalable TFLN photonic integrated circuit production by late 2026.

NHanced's 3D packaging is seen as a solution to the "interconnect bottleneck" — the signal-loss problem that makes it hard to connect photonic quantum chips at scale. Solving that problem is a prerequisite for commercializing room-temperature quantum processors.
Financial analysts are more cautious. Spark, TipRanks' AI analyst, rates QUBT stock Neutral. The firm cited a strong balance sheet and rapid revenue growth as positives, but flagged "weak profitability and ongoing cash burn" as limits on upside, according to TipRanks. The critical test comes in 2027, when the first major earnout milestones fall due.
