Health Catalyst Divests Vitalware for $147M to Sharpen AI and Core Tech Focus

Health Catalyst has signed a definitive agreement to sell its Vitalware business unit to Med-Metrix for $147 million in cash. The company expects closing in Q3 2026, subject to conditions including Hart-Scott-Rodino clearance, no legal restraints, employee acceptance, and other customary approvals. Health Catalyst says the divestiture will sharpen its focus on core technology and AI investments aimed at improving health system performance, supported by its healthcare improvement data and measured outcomes. The company plans to use the net proceeds, along with cash on hand, to fully repay and terminate its existing senior secured term loan facility (about $160 million outstanding principal as of March 31, 2026), including related interest and potential prepayment costs. As part of the transaction, Health Catalyst will conduct a pre-closing internal reorganization to transfer certain Vitalware assets and liabilities before closing. There is no guarantee the deal will close on the expected terms or timeline.
Health Catalyst said the deal is structured as a sale of “all of the equity interests of Vitalware, LLC” (the entity through which it runs the Vitalware business) under a Unit Purchase Agreement with Med-Metrix.
CEO Ben Albert called the transaction “a big step forward,” saying, “We are concentrating our business around the areas where we have the deepest conviction,” and adding, “Vitalware is a great business… [and] we are pleased to have found a partner in Med-Metrix who is well positioned to carry it forward.”
Health Catalyst framed the divestiture as a move to drive measurable improvement across “cost, clinical, and consumer performance,” and said it expects the transaction will “accelerate the broader transformation underway.”
For its AI strategy, Health Catalyst said its foundation includes “18 years of proprietary healthcare improvement data and $2.8 billion in measured outcomes,” which it described as the basis for an AI roadmap to help health systems turn their results into “specific, prioritized action.”
Health Catalyst described Med-Metrix as a “technology-enabled revenue cycle management company” that serves “provider organizations across the country,” indicating the buyer’s operating focus outside Health Catalyst’s core technology/AI positioning.
