PagerDuty Appoints Eric Prengel as New CFO, Replacing Longtime Executive Howard Wilson

PagerDuty has named Eric Prengel as its new chief financial officer, effective June 22, 2026. Prengel, 44, takes over from Howard Wilson, who has held the role since 2016. Wilson will move into a Strategic Advisor position, according to Business Wire.
The change is the second major leadership shift at PagerDuty in under two months. The company replaced CEO Jennifer Tejada with John DiLullo on May 11, 2026. Together, the moves signal a sharp turn toward disciplined, profitable growth after years of stalled revenue expansion.
Prengel spent more than 20 years across finance, banking, and consulting before joining PagerDuty. Most recently, he served as Global VP of Finance at Elastic N.V. from January 2023 to June 2026. There he led financial planning, investor relations, procurement, and corporate strategy, according to TipRanks.
Before Elastic, Prengel worked at JPMorgan, Deutsche Bank, Thomas Weisel Partners, and Stern Stewart & Co. CEO DiLullo said Prengel "seamlessly combines operational discipline with a sharp, strategic mindset." As CFO, Prengel will oversee all finance, accounting, corporate strategy, and investor relations functions.
Wilson stopped serving as CFO and principal financial officer on June 22, 2026. He is expected to fully retire from executive duties by July 31, 2026 — the end of PagerDuty's fiscal Q2 2027 — according to IT Brief.
However, an SEC Form 8-K tells a different story on timing. The filing says Wilson will remain as a Strategic Advisor through February 28, 2027. The gap likely reflects the difference between his role as a company officer ending in July and his consulting arrangement running through early 2027, according to GuruFocus.
PagerDuty serves about 36,000 global customers, including 65% of the Fortune 100. Revenue sits near $493.71 million, but the company has guided for roughly 0% growth in fiscal 2027, according to GuruFocus. Its stock has fallen more than 50% year-over-year, recently trading around $8.23 to $8.27.
Prengel said he is "incredibly energized" by "massive momentum" behind the company's AI offerings. PagerDuty is pushing from a traditional alerting tool toward what it calls an "AI-first Operations Cloud" — using AI agents to automate full incident management. The company still posts strong gross margins of 85% to 87%, well above many software peers.
Prengel's base salary is set at $460,000, with a target bonus of 75% of that figure. His equity package includes 600,000 time-based restricted stock units and 300,000 performance-based units, according to Traders Union.
Analysts at RBC Capital recently raised their price target on PagerDuty from $8.00 to $9.00, citing management's efforts to stabilize the business. Still, most analysts hold a "wait-and-see" stance. The double replacement of both the CEO and CFO within 60 days points to real shareholder pressure, not just routine succession planning, according to TipRanks.
