Australian AI company Codeifai Limited has raised $770,000 through a share placement, issuing 110 million ordinary shares at $0.007 each, according to Kalkine Media. Each share came with a free attaching option, exercisable at $0.02 until April 14, 2029, with the raise led by Oakley Capital.
The funds will go toward product and business development and working capital, Kalkine Australia reported. Codeifai wants to deepen its push into self-service SaaS and expand into high-value industrial use cases, including geospatial and subsurface intelligence workflows.
The $770,000 placement is just the first step. Codeifai has also announced a second capital raise, proposing to issue another 110 million ordinary shares and 110 million unlisted options at the same prices, according to Kalkine Media. That second tranche could bring the total raise to $1.54 million. No shareholder approval is needed for this portion.
A separate, smaller tranche covers 19.25 million shares and 19.25 million unlisted options at the same terms, Kalkine Media reported. This portion does require shareholder approval, with a vote scheduled for July 24, 2026. All new shares rank equally with existing shares upon issue.
Every option across both tranches carries an exercise price of $0.02 and expires on April 14, 2029. That gives investors nearly three years to exercise them. The consistent terms across all tranches signal a deliberate effort to align incentives, according to TipRanks.
TipRanks also noted that Codeifai had separately proposed issuing up to 90.75 million unlisted options as part of a broader capital flexibility strategy. Together, the option packages give the company room to raise more cash in the future without immediate dilution pressure.
