MDA Space Acquires Majority CLS Stake to Lead Global Geointelligence Services

The deal is framed as creating one of the largest space-based geointelligence businesses in the world, expanding MDA Space’s capability with CLS’s AI-driven Earth observation data and services across a broad multi-sensor portfolio.
CLS reportedly serves more than 14,000 customers across around 150 countries, highlighting the scale and global reach that MDA Space would acquire.
There could be an additional €198 million of debt to be posted by MDA Space to pay off existing obligations before the CLS deal closes, adding to the financial complexity of the transaction.
The closing of the CLS acquisition is expected in late 2026 or early 2027 and will require French employee consultation procedures, contributing to a longer regulatory lead time and potential stock-market implications.
The financing is being conducted via a bought-deal offering of about 20 million shares at $35.60 to raise roughly $712 million in gross proceeds, with banks allowed to sell up to 15% more; the issue is not conditional on the CLS transaction and faces potential dilution and overhang until closing and deployment clarity.
MDA Space has agreed to acquire a roughly 70% stake in French Earth observation firm Collecte Localisation Satellites (CLS) for €567 million in cash, valuing the company at about €810 million, according to The Globe and Mail. The deal would create one of the largest space-based geointelligence businesses in the world, combining MDA's satellite hardware expertise with CLS's AI-driven data analytics platform.
CLS serves more than 14,000 customers across roughly 150 countries, according to Simply Wall St. France's national space agency, CNES, would retain the remaining 30% stake after the deal closes, which is not expected until late 2026 or early 2027.
MDA Space is paying roughly $920 million CAD in cash for its 70% share of CLS, according to The Globe and Mail. CLS is expected to generate about €286 million in revenue in 2026. The combined group would operate from roughly 40 sites across 19 countries. MDA says the deal would aim to double its recurring revenue and boost cash generation.
Beyond the purchase price, MDA Space also faces an additional €198 million in debt it must pay off before the deal closes, adding financial complexity to the transaction, according to Simply Wall St. MDA's leadership called the move a step toward building a "vertically integrated geospatial services leader" with both government and commercial customers.
To pay for the acquisition, MDA Space launched a bought-deal share offering of about 20 million shares priced at $35.60 each, according to The Globe and Mail. That raises roughly $712 million in gross proceeds. Banks can sell up to 15% more shares on top of that, pushing total proceeds close to $1 billion CAD.
MDA made clear the share offering is not conditional on the CLS deal closing. That means investors absorb the dilution now, with no guarantee of a timeline. Analysts note that uncertainty around closing and how funds get deployed could weigh on the stock price until there is more clarity.
The deal must clear several approval stages before it is done. French law requires an employee consultation process at CLS before any ownership change is finalized, according to ca.headtopics.com. That process, combined with standard regulatory reviews, means the closing timeline could stretch into early 2027.
The long lead time creates a period of uncertainty for MDA shareholders. The company will have raised over $700 million through share dilution but will not deploy those funds into a fully integrated business for potentially another year or more. Investors are watching closely for any updates on the regulatory front.
CLS specializes in AI-driven Earth observation analytics and satellite-based Internet of Things (IoT) services — meaning it tracks ships, wildlife, and assets using satellites. According to Simply Wall St, CLS's multi-sensor data platform would give MDA a broader product suite to sell to both governments and commercial clients.
MDA has also recently secured two separate satellite contracts with the Canadian Space Agency and Japan's Mitsubishi Electric Corporation, according to Yahoo Finance. Those deals show MDA expanding its sovereign and international satellite infrastructure role even before the CLS acquisition closes.
