CEA Industries Settles Governance Dispute, Appoints Three New Directors with Digital Asset Expertise

CEA Industries Inc. (Nasdaq: BNC) and activist investor YZi Labs have settled their boardroom fight, with three new directors joining immediately. GlobeNewswire reported that the deal ends a consent solicitation and drops all related books-and-records demands that had threatened to expose the company's internal communications.
The new directors — Ella Zhang, Alex Odagiu, and Matthew Rozak — all bring deep ties to the BNB blockchain ecosystem. Odagiu has already been named Interim President, and the company will form a CEO Search Committee to find a permanent replacement.
The dispute began when YZi Labs, a major BNC shareholder, launched a formal consent solicitation in early June 2024 to replace board members. According to Stock Titan, the firm also filed a "Books and Records" demand under Delaware law — a legal tool that forces companies to hand over internal documents and often pushes boards to settle fast.
The legacy board had three members: Chairperson Annemarie Tierney, Glenn Tyranski, and Carly E. Howard. YZi Labs argued that none of them had the digital asset expertise needed to execute the company's new strategy. The settlement gives YZi Labs three board seats without a costly vote.
CEA Industries was not always a crypto play. The company started as Surna Inc., selling HVAC systems to cannabis growers. As cannabis capital markets dried up, it rebranded, changed its ticker to BNC — a direct nod to BNB Chain, the blockchain network tied to Binance — and began hunting for digital asset deals.
YZi Labs is the investment arm connected to the BNB ecosystem. ADVFN noted that the three new directors bring "Digital Asset Industry Expertise and BNB Ecosystem Insight." The company's cash position, roughly $15–20 million as of its last quarterly filing, now serves as its war chest for new blockchain acquisitions.
Ella Zhang is the Founding Partner of YZi Labs and a former head of Binance Labs, one of the world's biggest crypto venture funds. Matthew Rozak is Co-founder of Bloq Inc. and Chairman of Tally Capital, both digital asset firms. Alex Odagiu, also a YZi Labs partner and former Binance Labs Investment Director, steps in as Interim President immediately.
Chairperson Annemarie Tierney welcomed the deal. "We look forward to working with the new directors to leverage their significant experience in the digital asset industry," she said, according to Market Screener. The board now has six members — three from the old guard and three from YZi Labs.
The settlement is not a full handover. YZi Labs agreed to "long-term customary voting commitments and standstill provisions," according to GlobeNewswire. That means the firm cannot launch another hostile move — like a tender offer or a fresh consent solicitation — for a set period. It locks in the current balance of power.
The immediate next step is the CEO Search Committee, which will include both new and legacy directors. Analysts expect the company to name a permanent CEO from the crypto world within roughly 90 days. Future moves are likely to include acquisitions in blockchain infrastructure or BNB Chain-related projects.
