CEA Industries ends proxy fight, appoints Binance-linked directors for BNB treasury shift

CEA Industries (NASDAQ: CEAD) ended a seven-month proxy fight with YZi Labs on June 23, 2026, handing the Binance-linked venture firm three board seats and effective control over the company's BNB cryptocurrency treasury strategy, according to CoinDesk. The deal sent shares up 8.35% as investors welcomed the end of the boardroom standoff, Crypto News reported.
YZi Labs, which manages more than $10 billion in assets across Web3, artificial intelligence, and biotech, had been pushing for control since November 2025. Board Chair Carly E. Howard called the deal a "cooperation" that gives shareholders access to top-tier Web3 expertise, according to Grafa.
Under the agreement, YZi Labs installed three directors immediately: Ella Zhang, Alex Odagiu, and Matthew Roszak, according to Crypto News. Zhang is the former head of Binance Labs, giving CEA a direct link to the global Binance ecosystem. Roszak, co-founder of Tally Capital, is a well-known early crypto investor.
Odagiu also takes the role of interim president while CEA searches for a permanent CEO, Head Top Topics reported. Current CEO David Namdar stays in place during the transition. A dedicated search committee will look for a leader with digital asset and public-company governance experience. Both sides also agreed to find one more independent director with blockchain expertise.
The conflict began in November 2025 when YZi Labs filed a consent solicitation — a legal move that lets shareholders force board changes without waiting for an annual meeting. YZi sought to expand the board, install its own slate, and undo bylaw changes it saw as "poison pill" defenses by CEA's old management, according to CoinDesk.
Pressure built through early 2026 as YZi filed multiple records demands. CEA also went on offense, suing 10X Capital to void an asset-management agreement and recoup fees paid under that deal. The June 23 settlement withdraws all consent solicitations, drops all records demands, and ends both sides' legal claims against each other, Crypto News reported.
YZi Labs built its position with a $500 million private investment in public equity, known as a PIPE, into BNC in August 2025, according to Head Top Topics. CEA Industries started life as an agriculture infrastructure company, formerly called Surna Inc. The company plans to hold BNB as its primary reserve asset, giving public market investors a regulated way to bet on the Binance ecosystem, according to Grafa.
Howard said the deal "shifts CEA's strategic focus toward a BNB-centric treasury approach" and positions the company for a stronger public market listing. Skeptics warn that close ties to Binance could draw SEC scrutiny over how the company values and stores its BNB holdings. The outcome of the 10X Capital lawsuit could also add a cash-flow surprise in the second half of 2026 if CEA wins back the fees it paid, Crypto News reported.
