USA Rare Earth Announces Moraitis as CEO, Blitzer Named Executive Chairman Amid Merger

Michael Blitzer, longtime USAR board chair and a major shareholder, has been elected Executive Chairman and has personally agreed to restrictions on transferring his USAR common stock until certain government financing milestones are satisfied.
Thras Moraitis is described as having an unparalleled track record of operational execution, strategic development and transaction leadership, having served as Serra Verde’s CEO since January 2023.
The Serra Verde merger is anticipated to close by the end of August 2026, enabling Moraitis to assume the USAR CEO role on October 1, 2026.
During the interim period, Moraitis will continue to oversee the combined company’s operations as President, before officially taking the CEO role on Oct 1, 2026.
USA Rare Earth (NASDAQ: USAR) is handing the reins to Thras Moraitis, the current CEO of Serra Verde Group, who will become CEO of the combined company on October 1, 2026. The move follows a $2.8 billion merger between the two mining firms — one of the largest rare-earth deals in recent memory — expected to close by end of August 2026, according to Wall Street Journal.
Outgoing CEO Barbara Humpton, who led USAR through key mine-to-magnet partnerships and expanded its global footprint, will retire from both her CEO role and board seat on the same date. Michael Blitzer, the company's chairman and a major shareholder, steps up to Executive Chairman, per Benzinga.
Moraitis has led Serra Verde as CEO since January 2023. Kalkine Media describes him as having an "unparalleled track record of operational execution, strategic development and transaction leadership." His appointment is directly tied to the merger closing. Once that happens, he will serve as President in an interim period before officially becoming CEO on October 1.
The $2.8 billion deal is among the biggest in the rare-earth sector's history, according to Value The Markets. USAR's goal is to build a full critical minerals value chain — from mining raw materials all the way to producing the permanent magnets used in electric vehicles and defense systems.
Michael Blitzer, a major USAR shareholder and longtime board chair, was elected Executive Chairman as part of the transition. He will keep directing strategy, financing, and post-merger integration. His role signals continuity at the top, with leadership focused on securing government funding to back the combined company's expansion.
Notably, Blitzer has personally agreed to restrictions on transferring his USAR common stock until certain government financing milestones are met, according to Crypto Briefing. That kind of lock-up is a strong signal to investors that leadership is committed to hitting key targets before cashing out.
Barbara Humpton built her tenure around landing public-private partnerships — arrangements where the government co-funds projects seen as critical to national security. She helped position USAR as a key player in reducing U.S. reliance on Chinese rare-earth supply chains. Her retirement marks the end of that founding phase of the company's strategy.
Wall Street Journal noted Humpton will step down from both the CEO role and the board on October 1, 2026. Her departure is planned and orderly, with Moraitis already embedded in operations as President to ensure a smooth handoff at the combined company.
Rare-earth elements are essential for electric vehicle motors, wind turbines, and advanced weapons systems. The U.S. has long depended on China for much of its supply. USAR's mine-to-magnet model — controlling the full production chain — is seen as a direct answer to that vulnerability.
The Serra Verde merger brings together complementary assets and operational expertise, according to Crypto Briefing. With Moraitis at the helm and Blitzer holding strategy, the combined company is positioning itself to compete globally while tapping U.S. government financing programs designed to boost domestic critical mineral production.
