L3Harris Appoints Sam Mehta CEO; Kubasik Departs After Internal Conduct Review

Sam Mehta’s compensation package upon appointment includes a base salary of $1,250,000, a target annual cash bonus equal to 200% of base salary (both pro-rated for the 2026 fiscal year), a long-term incentive target of $13,250,000 (pro-rated for 2026), and eligibility for limited personal use of corporate aircraft as well as assistance with financial planning and tax preparation; severance benefits are available under the company’s Severance Pay Plan and related executive arrangements.
Independent counsel was engaged to investigate Christopher Kubasik’s conduct, leading to a separation agreement with Kubasik that the board said was not related to the company’s financial reporting, controls, customer relationships or operational performance.
Background details for the new executives include Lauren Barnes, who joined L3Harris in 2023 and previously held roles at The Boeing Company, and Christopher Aebli, who joined L3Harris in 1991 and has held leadership roles across engineering, program management, sales and international business.
The SMS (Space & Mission Systems) and CSD (Communications & Spectrum Dominance) segments together account for more than 80% of L3Harris’ total revenue, underscoring the leadership transition’s focus on the company’s core defense platforms.
L3Harris Technologies has a new CEO. The defense giant appointed Sam Mehta as President and Chief Executive Officer, effective immediately, after Christopher Kubasik stepped down from his roles as Chairman, CEO, and board member following an internal conduct investigation, according to Space News.
The board said the investigation — led by independent counsel — had nothing to do with L3Harris's financial reporting, controls, customer relationships, or operational performance. Lewis Hay III, a longtime director and former CEO of NextEra Energy, stepped up as Independent Chairman. The company also reaffirmed its full 2026 guidance on revenue, margins, and free cash flow.
Mehta joined L3Harris in 2023 and brings more than 25 years of aerospace and defense experience, according to City Biz. He previously led two of the company's biggest divisions: Space & Mission Systems and Communications & Spectrum Dominance. Those two segments together generate more than 80% of L3Harris's total revenue.
Mehta's deep roots in L3Harris's core business made him a natural pick. The board put him in charge immediately, signaling it wanted stability and continuity. His appointment also earns him a seat on the company's board of directors, TipRanks reported.
The board hired outside counsel to investigate Kubasik's conduct. The probe led directly to his separation from the company, Democrata reported. L3Harris was careful to note that the findings had no connection to how the company runs its business or manages its books.
The company reached a separation agreement with Kubasik. No further details about the nature of the conduct review were disclosed. Kubasik had served as both Chairman and CEO, so his exit triggered a split of those two roles — a common move companies make to strengthen board oversight.
Mehta's compensation package is substantial. He will earn a base salary of $1,250,000 per year. His target annual bonus is 200% of that base salary. He also receives a long-term incentive target of $13,250,000. All figures are pro-rated for the 2026 fiscal year. Perks include limited use of a corporate aircraft and help with financial planning and taxes.
Two new segment leaders were also named. Lauren Barnes, who joined L3Harris in 2023 after a career at Boeing, takes over as President of Space & Mission Systems. Christopher Aebli, a 34-year company veteran who joined in 1991, becomes President of Communications & Spectrum Dominance. Both moves fill the roles Mehta vacated when he stepped into the top job, according to Head Topics.
Despite the abrupt leadership change, L3Harris moved quickly to calm investors. The company reaffirmed its 2026 outlook across every major financial metric — revenue, organic growth, segment margins, GAAP earnings per share, and free cash flow. The message was clear: the business has not skipped a beat, Space News reported.
Hay, the new Independent Chairman, brings deep boardroom experience. He previously served as CEO and Chairman of NextEra Energy, one of the largest energy companies in the US. His elevation to chair gives the board a steady, experienced hand as Mehta settles into the CEO role.
