WISeKey and SEALSQ Form Quantisimo with GigCapital8 for Nasdaq Quantum Technology Platform

WISeKey International Holding Ltd. and its semiconductor subsidiary SEALSQ Corp. have formed a new company called Quantisimo Corp. to chase the booming quantum technology market. The two firms also signed a non-binding Letter of Intent with GigCapital8 Corp. (Nasdaq: GIW), a blank-check company, to list Quantisimo on the Nasdaq stock exchange, according to Business Wire.
The deal values Quantisimo at roughly $575 million before the merger closes. The companies want to grow that figure to $2 billion by buying up to five quantum technology firms. The transaction is expected to close in the first quarter of 2027, GlobeNewswire reported.
Quantisimo is a Special Purpose Vehicle — essentially a shell company built for one job: acquire quantum tech firms and take them public. WISeKey and SEALSQ created it to act as a "roll-up" platform, targeting startups in areas like quantum hardware and encryption software that lack the capital to reach public markets alone, according to GlobeNewswire.
WISeKey CEO Carlos Creus Moreira called the platform a "Trusted Quantum Pure-Play" vehicle that gives investors "direct exposure to the transformational opportunity while building the trusted infrastructure required for the quantum era," per Business Wire. WISeKey already has 1.6 billion microchips deployed worldwide, giving Quantisimo a large existing customer base to build on.
GigCapital8 raised $220 million in its 2025 IPO at $10 per unit. It focuses on aerospace, defense, and quantum sectors. Its founder, Dr. Avi Katz, uses what he calls a PPE™ model — Private-to-Public Equity — which pairs investors with late-stage tech companies that already have revenue, unlike the risky blank-check deals of 2020 and 2021.
Katz said Quantisimo offers a rare "diversified public market vehicle" for the emerging quantum economy. However, analysts noted the Letter of Intent is non-binding. The deal still needs final agreements and shareholder approval before it can close, according to Business Wire.
The announcement came just three days after President Trump signed an Executive Order titled "Ushering in the Next Frontier of Quantum Innovation." The order called for faster national readiness for quantum-safe security. The timing suggests Quantisimo is designed to align with U.S. national security goals around what experts call "Sovereign Digital Infrastructure."
The urgency is real. Security experts warn of "Q-Day" — the moment when quantum computers can crack today's standard encryption. Adversaries are already stealing encrypted data now to decode it later, a threat known as "Harvest Now, Decrypt Later." Global quantum financing hit $10 billion in 2025, signaling what McKinsey calls a "commercial tipping point" for the industry.
Quantisimo follows a familiar WISeKey playbook. The company spun off SEALSQ in 2023 and launched WISeSat.Space Corp. in late 2025. Each spinoff targets a specific high-growth sector. This approach lets WISeKey keep a minority stake while the subsidiary raises its own capital for expensive R&D, according to Business Wire.
SEALSQ has been growing fast — its revenue jumped 66% year-over-year as of March 2026, driven by demand for its post-quantum semiconductor chips. SEALSQ's QS7001 and QVault TPM security chips are expected to anchor Quantisimo's technology platform, per GlobeNewswire. The WISeKey group held $535 million in cash and short-term investments as of April 30, 2026, giving the broader venture financial muscle.
