OceanaGold to Acquire Ausgold for A$776 Million, Adding Katanning Gold Project

Katanning's December 2025 feasibility study outlines a conventional open-pit development with a 3.6 million tonnes per annum carbon-in-leach processing plant and estimated pre-production capital expenditure of about A$355 million, highlighting the scale of upfront investment for the project.

Ausgold has added around 240 hectares of freehold land around Katanning to support development, including about 50 hectares within the existing mining lease ML70/210, aimed at de-risking access and enabling potential resource growth with a multi-rig drilling program planned for late October.
The acquisition would expand OceanaGold’s regional footprint by integrating Katanning into its portfolio alongside assets in the United States, New Zealand and the Philippines.
Katanning is located about 275 kilometers southeast of Perth, Western Australia, providing geographic context to the project within OceanaGold’s Australian development strategy.
OceanaGold Corporation has agreed to buy all of Ausgold Limited for about A$776 million, marking its first-ever acquisition in Australia, according to Reuters. The deal gives Ausgold shareholders 0.03365 OceanaGold shares for each Ausgold share they hold, plus a cash option capped at A$194 million. That values each Ausgold share at roughly A$1.36 — a 28% premium to its last closing price and 44% above its 20-day average.
The target asset is the Katanning Gold Project in Western Australia, about 275 kilometers southeast of Perth. OceanaGold expects to pour first gold there in 2029, with production running above 100,000 ounces per year for more than a decade, according to Nasdaq.
The Katanning Gold Project would slot in as OceanaGold's fifth asset, joining mines in the United States, New Zealand and the Philippines, according to Mining Weekly. The project is still in development. A December 2025 feasibility study laid out a conventional open-pit mine with a processing plant handling 3.6 million tonnes of ore per year. Pre-production capital costs are estimated at A$355 million.
The plant would use a carbon-in-leach process — a standard method that dissolves gold with cyanide and then pulls it onto carbon beads. OceanaGold says its financial and technical strength will help bring the project across the line faster than Ausgold could on its own.
Ausgold's board unanimously recommends that shareholders vote yes, according to MarketWatch. Dundee Corporation, a major shareholder, has also signaled support. To go through, the scheme needs 75% of votes cast and a majority by number of voters — a standard threshold for Australian court-approved takeovers. Shareholders will vote at a meeting expected in late 2026.
After the deal closes, Ausgold shareholders would own roughly 6% to 8% of the combined OceanaGold. Analysts still rate Ausgold as a Buy, with a target price of A$3.45, suggesting some see further upside even above the current offer price.
Ausgold has been quietly buying up land around Katanning to smooth the road to development. The company recently added about 240 hectares of freehold land, including roughly 50 hectares inside its existing mining lease, according to Business News. The move aims to lock in site access and cut permitting risk before construction begins.
A multi-rig drilling program is planned to kick off in late October. OceanaGold intends to update the definitive feasibility study in 2027 and release updated technical reports in 2028, keeping first gold on track for 2029.
The total deal value of A$776 million — about US$553 million — reflects strong investor appetite for near-production gold assets, according to Reuters. The premium of 44% to Ausgold's 20-day volume-weighted average price is notable. It signals OceanaGold is willing to pay up to secure a long-life asset in a stable jurisdiction.
OceanaGold gains a project with more than a decade of expected production above 100,000 ounces per year. For a company looking to grow in Australia, Katanning offers scale, an established feasibility study and a clear timeline — making the premium easier to justify.
